If you do not agree, do not use our Website or services.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>1. DEFINITIONS<\/strong><\/h2>\n\n\n\n<ul>\n<li><strong>\u201cServices\u201d<\/strong>&nbsp;means any consulting, product development, sourcing, design, research, coordination, advisory, or related services provided by Infina Lab.<\/li>\n\n\n\n<li><strong>\u201cDeliverables\u201d<\/strong>&nbsp;means any reports, designs, specifications, documents, or work product expressly agreed upon in writing.<\/li>\n\n\n\n<li><strong>\u201cClient Materials\u201d<\/strong>&nbsp;means any information, data, designs, trademarks, or materials provided by Client.<\/li>\n\n\n\n<li><strong>\u201cAgreement\u201d<\/strong>&nbsp;means these Terms together with any written proposal, statement of work (\u201cSOW\u201d), invoice, or contract agreed upon by the parties.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. ELIGIBILITY &amp; AUTHORITY<\/strong><\/h2>\n\n\n\n<p>You represent and warrant that:<\/p>\n\n\n\n<ul>\n<li>You are at least 18 years old.<\/li>\n\n\n\n<li>You have the legal authority to enter into this Agreement on behalf of yourself or the entity you represent.<\/li>\n\n\n\n<li>Your use of the Services complies with all applicable laws and regulations.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. SCOPE OF SERVICES<\/strong><\/h2>\n\n\n\n<p>3.1&nbsp;<strong>Nature of Services<\/strong><br>Infina Lab provides&nbsp;<strong>consulting and coordination services only<\/strong>. We do&nbsp;<strong>not<\/strong>&nbsp;manufacture products, operate factories, or act as the seller of record unless expressly stated in writing.<\/p>\n\n\n\n<p>3.2&nbsp;<strong>No Guaranteed Outcomes<\/strong><br>All Services are provided on a&nbsp;<strong>best-efforts basis<\/strong>. We do not guarantee commercial success, regulatory approval, profitability, or market acceptance of any product or project.<\/p>\n\n\n\n<p>3.3&nbsp;<strong>Third-Party Providers<\/strong><br>Client acknowledges that manufacturers, suppliers, logistics providers, testing labs, and other third parties are&nbsp;<strong>independent entities<\/strong>, and Infina Lab is not responsible for their performance, delays, defects, or failures.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. FEES, PAYMENTS &amp; TAXES<\/strong><\/h2>\n\n\n\n<p>4.1&nbsp;<strong>Fees<\/strong><br>Fees are set forth in the applicable proposal, SOW, or invoice. All fees are&nbsp;<strong>non-refundable<\/strong>&nbsp;unless expressly stated otherwise in writing.<\/p>\n\n\n\n<p>4.2&nbsp;<strong>Payment Terms<\/strong><\/p>\n\n\n\n<ul>\n<li>Payments are due according to the invoice terms.<\/li>\n\n\n\n<li>Late payments may accrue interest at&nbsp;<strong>1.5% per month<\/strong>&nbsp;or the maximum allowed by law.<\/li>\n\n\n\n<li>Infina Lab may suspend Services for non-payment.<\/li>\n<\/ul>\n\n\n\n<p>4.3&nbsp;<strong>Taxes<\/strong><br>Client is responsible for all applicable taxes, duties, or governmental charges, excluding Infina Lab\u2019s income taxes.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>5. CLIENT RESPONSIBILITIES<\/strong><\/h2>\n\n\n\n<p>Client agrees to:<\/p>\n\n\n\n<ul>\n<li>Provide accurate, complete, and timely information.<\/li>\n\n\n\n<li>Obtain all necessary regulatory approvals, certifications, and licenses.<\/li>\n\n\n\n<li>Ensure product compliance with applicable laws (FDA, FTC, CPSIA, customs, etc.).<\/li>\n\n\n\n<li>Review Deliverables promptly and notify Infina Lab of issues within a reasonable time.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>6. INTELLECTUAL PROPERTY<\/strong><\/h2>\n\n\n\n<p>6.1&nbsp;<strong>Infina Lab IP<\/strong><br>All methodologies, processes, templates, tools, know-how, and pre-existing materials are the exclusive property of Infina Lab.<\/p>\n\n\n\n<p>6.2&nbsp;<strong>Client IP<\/strong><br>Client retains ownership of Client Materials. Client grants Infina Lab a limited, non-exclusive license to use such materials solely to perform the Services.<\/p>\n\n\n\n<p>6.3&nbsp;<strong>Deliverables Ownership<\/strong><\/p>\n\n\n\n<ul>\n<li>Ownership transfers&nbsp;<strong>only upon full payment<\/strong>.<\/li>\n\n\n\n<li>Unless otherwise agreed in writing, Deliverables are provided for Client\u2019s&nbsp;<strong>internal business use only<\/strong>.<\/li>\n<\/ul>\n\n\n\n<p>6.4&nbsp;<strong>No Implied Rights<\/strong><br>No IP rights are granted except as expressly stated.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>7. CONFIDENTIALITY<\/strong><\/h2>\n\n\n\n<p>Each party agrees to maintain the confidentiality of non-public, proprietary, or confidential information received from the other party and to use such information solely for purposes of this Agreement.<\/p>\n\n\n\n<p>This obligation survives termination.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>8. DATA PRIVACY<\/strong><\/h2>\n\n\n\n<p>Your use of the Website and Services is subject to our&nbsp;<strong>Privacy Policy<\/strong>, incorporated by reference. Client consents to the collection and use of information as described therein.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>9. WARRANTIES &amp; DISCLAIMERS<\/strong><\/h2>\n\n\n\n<p>THE SERVICES AND WEBSITE ARE PROVIDED&nbsp;<strong>\u201cAS IS\u201d AND \u201cAS AVAILABLE.\u201d<\/strong><\/p>\n\n\n\n<p>TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFina LAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>10. LIMITATION OF LIABILITY<\/strong><\/h2>\n\n\n\n<p>TO THE MAXIMUM EXTENT PERMITTED BY LAW:<\/p>\n\n\n\n<ul>\n<li>INFina LAB SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.<\/li>\n\n\n\n<li>TOTAL LIABILITY SHALL NOT EXCEED THE&nbsp;<strong>AMOUNT PAID BY CLIENT TO INFina LAB IN THE SIX (6) MONTHS PRECEDING THE CLAIM<\/strong>.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>11. INDEMNIFICATION<\/strong><\/h2>\n\n\n\n<p>Client agrees to&nbsp;<strong>indemnify, defend, and hold harmless<\/strong>&nbsp;Infina Lab from any claims, damages, losses, or expenses arising out of:<\/p>\n\n\n\n<ul>\n<li>Client\u2019s products or business activities<\/li>\n\n\n\n<li>Regulatory violations<\/li>\n\n\n\n<li>Infringement of third-party rights<\/li>\n\n\n\n<li>Misuse of Services or Deliverables<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>12. TERMINATION<\/strong><\/h2>\n\n\n\n<p>12.1&nbsp;<strong>Termination for Convenience<\/strong><br>Either party may terminate with written notice, subject to payment for Services rendered.<\/p>\n\n\n\n<p>12.2&nbsp;<strong>Termination for Cause<\/strong><br>Infina Lab may terminate immediately for breach, non-payment, unlawful conduct, or misuse of Services.<\/p>\n\n\n\n<p>12.3&nbsp;<strong>Effect of Termination<\/strong><br>Outstanding fees become immediately due. Sections relating to IP, confidentiality, liability, indemnification, and governing law survive termination.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>13. GOVERNING LAW &amp; DISPUTE RESOLUTION<\/strong><\/h2>\n\n\n\n<p>These Terms are governed by the laws of the&nbsp;<strong>State of Wyoming<\/strong>, without regard to conflict-of-laws principles.<\/p>\n\n\n\n<p>Any dispute shall be resolved by&nbsp;<strong>binding arbitration<\/strong>&nbsp;conducted in English, and&nbsp;<strong>class actions are waived<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>14. MODIFICATIONS<\/strong><\/h2>\n\n\n\n<p>Infina Lab may update these Terms at any time. Changes become effective upon posting to the Website. Continued use constitutes acceptance.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>15.
